Restoring a struck-off company to recover a valuable asset.

Court reinstatement and a full catch-up of outstanding statutory filings allowed a struck-off family company to regain compliance and sell its remaining property.

The Challenge

A family-owned company approached us after discovering that it had been struck off the register by the Companies Commission of Malaysia (SSM) following years of non-compliance with its statutory filing obligations. While the company had ceased active operations, it still owned a valuable property.

As a struck-off company no longer has the legal capacity to deal with its assets, the directors were unable to sell the property or determine the company's future.

The family required practical guidance to restore the company and regularise its long-outstanding statutory obligations before any transaction could proceed.

Our Solution

We were engaged to coordinate the entire restoration process on the client's behalf. Working closely with the appointed solicitors, we assisted in the application to the High Court to reinstate the company to the register.

Following the successful restoration, our team systematically brought the company's statutory records up to date by preparing and lodging all outstanding documents and regulatory filings, ensuring the company regained full compliance with its legal obligations.

Throughout the engagement, we coordinated the various professional parties involved, allowing the directors to focus on their commercial objectives while we managed the regulatory process.

The Outcome

The company was successfully restored to the register and brought back into statutory compliance, enabling the directors to proceed with the sale of the property. With the asset recovered and the company's affairs regularised, the shareholders were then in a position to decide whether to continue the business or proceed with an orderly closure.
