The Challenge
A group of companies with multiple shareholders had been paralysed by a prolonged shareholder dispute. Although the audited financial statements had been completed and were ready for lodgement, disagreements between the shareholders prevented them from being signed. The impasse extended beyond financial reporting, leaving the companies unable to authorise routine payments and resulting in mounting penalties and outstanding compliance obligations with various government authorities.
Over time, the administrative backlog grew to more than five years, placing the companies at increasing regulatory and operational risk.

Recognising the need for an independent and trusted party, all shareholders unanimously agreed to appoint our firm to oversee the administration of the companies. Acting impartially and in the best interests of the companies, we coordinated communications among the various stakeholders, managed day-to-day administrative matters and processed payments on behalf of the companies to restore essential operations.
Working closely with the shareholders and other professional advisers, we facilitated practical solutions that enabled long-standing compliance issues to be addressed. We systematically cleared more than five years of outstanding statutory filings, financial reporting obligations and regulatory matters, allowing the companies to regain good standing with the relevant authorities.
The Outcome
The companies successfully resolved years of accumulated compliance issues and restored orderly corporate governance. With the administrative backlog eliminated and the companies brought back into compliance, the shareholders were able to move forward with an agreed exit strategy.
Following the successful resolution, our firm was entrusted with managing the disposal of the group's final remaining asset and overseeing the distribution of the surplus proceeds to all shareholders, ensuring the process was carried out transparently, efficiently and in accordance with the agreed arrangements.
